These Terms of Service govern your access to and use of researchwater.com and any orders placed through it. Please read them carefully — by using the site or placing an order, you agree to be bound by them.

By accessing researchwater.com, creating an account, submitting an inquiry, or placing an order, you agree to be bound by these Terms of Service together with any documents incorporated by reference, including our Privacy Policy, Research-Use-Only Disclaimer, and Shipping & Returns policy. If you do not agree to any portion of these terms, you must not use the site or transact with ResearchWater.

You also agree that these terms constitute the complete and exclusive agreement between you and ResearchWater with respect to the subject matter hereof, superseding any prior or contemporaneous communications, proposals, or agreements.

Use of this site and the placement of any order is restricted to individuals who are at least twenty-one (21) years of age and who qualify as researchers, laboratory professionals, principal investigators, or authorized purchasing agents acting on behalf of an academic, governmental, or commercial research organization. By using the site, you represent and warrant that you meet these eligibility criteria and that all information you provide in connection with any order or account is accurate, complete, and current.

All products sold by ResearchWater are intended for in-vitro laboratory research use only, as further described in our Research-Use-Only Disclaimer. They are not intended for human or veterinary consumption, clinical use, diagnostic procedures, compounding, food production, or therapeutic purposes of any kind. By purchasing, you agree to use the products solely for lawful in-vitro research and to comply with all applicable federal, state, local, and institutional laws and policies governing the receipt, storage, handling, and disposal of laboratory reagents.

Resale, redistribution, or supply of any product for human or veterinary administration is strictly prohibited and constitutes a material breach of these terms.

All prices are listed in United States dollars (USD) and are exclusive of applicable sales, use, excise, or value-added taxes, which are calculated and added at checkout based on the destination address. Prices are subject to change without notice; the price applicable to your order is the price displayed at the time the order is submitted, subject to our acceptance of the order.

Submission of an order constitutes an offer to purchase, which ResearchWater may accept or decline at its sole discretion. We may refuse, cancel, or limit any order — including, without limitation, orders that appear to be placed by ineligible buyers, that contain pricing or product errors, or that fail fraud screening. Payment is due in full at the time of order, unless ResearchWater has separately approved purchase-order or net-terms billing in writing.

All shipments are sold FOB origin. Title and risk of loss pass to the buyer upon delivery of the products to the common carrier at our shipping facility. ResearchWater currently ships to addresses within the fifty United States only and does not ship internationally through this site. Tracking information is provided for every dispatched shipment, and any orders with a merchandise total of more than five hundred dollars (USD $500) require an adult signature at delivery.

Estimated transit times are provided in good faith but are not guaranteed. Carrier-imposed delays, weather events, and other circumstances beyond our control may extend delivery times; such delays do not give rise to a right of cancellation or refund.

Unopened, sealed products in their original packaging may be returned within fourteen (14) days of delivery for a refund less applicable restocking fees, as described on our Shipping & Returns page. Custom orders, custom-blended formulations, and special-order items are non-refundable and may not be returned. Products that have been opened, partially used, or that show any sign of tampering are not eligible for return.

If a product is damaged in transit, contact us within seven (7) days of delivery with photographs of the packaging and product and the lot number printed on the label; we will arrange a replacement at no charge.

If you create an account on researchwater.com, you are responsible for safeguarding your credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to use a strong, unique password, to keep your contact information current, and to notify us immediately at support@researchwater.com if you suspect any unauthorized access. ResearchWater is not liable for any loss arising from your failure to comply with these obligations.

All content on researchwater.com, including text, graphics, logos, product photography, illustrations, layouts, certificates of analysis, technical specifications, and underlying code, is owned by ResearchWater or its licensors and is protected by United States and international copyright, trademark, and other intellectual-property laws. The "ResearchWater" name and logo are trademarks of ResearchWater. Nothing on this site grants you any license to use any trademark, trade name, service mark, or logo without our prior written consent. You may not reproduce, modify, distribute, publicly display, or create derivative works of any site content except as expressly permitted in writing.

The site and all products are provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, ResearchWater disclaims all warranties, whether express, implied, statutory, or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular research purpose beyond the specifications stated on the certificate of analysis, non-infringement, and any warranty arising out of course of dealing or usage of trade.

ResearchWater does not warrant that the site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. The buyer assumes full responsibility for evaluating the suitability of each product for any specific in-vitro research application.

To the maximum extent permitted by applicable law, the total aggregate liability of ResearchWater arising out of or relating to any product, order, or use of this site shall not exceed the purchase price actually paid by the buyer for the specific product giving rise to the claim. In no event will ResearchWater be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including, without limitation, lost profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless ResearchWater, its affiliates, officers, directors, employees, agents, and suppliers from and against any and all claims, demands, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these terms, your use of any product in a manner inconsistent with our Research-Use-Only Disclaimer, your violation of any applicable law, or your infringement of any third-party right.

These terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute, claim, or controversy arising out of or relating to these terms, the site, or any product purchased from ResearchWater shall be resolved exclusively by binding individual arbitration administered under the rules of a recognized arbitral institution, conducted in the English language and seated in Wilmington, Delaware.

You and ResearchWater each waive the right to participate in any class action, class arbitration, or other consolidated proceeding. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

ResearchWater may revise these Terms of Service at any time by posting an updated version on this page and updating the "Last updated" date above. Continued use of the site or placement of any order after such posting constitutes acceptance of the revised terms. If a change is material, we will use commercially reasonable efforts to notify registered customers by email.
